OrbitFit Terms and Conditions
1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of OrbitFit, including the OrbitFit desktop application, licensing features, backup features, and related services made available by [Legal Entity Name] ("OrbitFit," "we," "us," or "our").
By downloading, installing, accessing, or using OrbitFit, you agree to be bound by these Terms. If you do not agree, do not use OrbitFit.
2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement in your jurisdiction to use OrbitFit. If you use OrbitFit on behalf of a business or other organization, you represent that you have authority to bind that entity to these Terms.
You are responsible for maintaining the confidentiality of your account access, installation access, and connected-service credentials.
3. Software License
Subject to these Terms and any applicable paid plan or license rules, OrbitFit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use OrbitFit for your internal business purposes.
You may not:
- copy, resell, rent, lease, or distribute OrbitFit except as permitted by law;
- reverse engineer or attempt to derive source code except where the law clearly permits it;
- remove proprietary notices, license controls, or security mechanisms; or
- use OrbitFit in a way that violates applicable law or these Terms.
4. Acceptable Use
You agree not to use OrbitFit to:
- store or process data unlawfully;
- infringe the rights of others, including privacy or intellectual property rights;
- introduce malicious software, exploit security issues, or interfere with the product;
- attempt unauthorized access to connected services, accounts, or license systems; or
- misrepresent your identity, business, or right to use the software.
5. Your Data, Local Storage, and Backups
OrbitFit is designed as a local-first desktop application. Core workspace data may be stored locally on your device. You are responsible for the accuracy, legality, and integrity of the data you enter into OrbitFit.
You are also responsible for maintaining backup practices appropriate to your business. OrbitFit may provide local backup creation, cloud backup integration, retention settings, restore previews, and related tooling, but you remain responsible for deciding what backup strategy is appropriate for your environment.
If you collect or store information about your customers, employees, or other individuals using OrbitFit, you are responsible for complying with all laws, notices, consents, and obligations that apply to that data.
6. Third-Party Services
OrbitFit may rely on third-party services such as Supabase for authentication, session-related functionality, and licensing-related flows, and Google Drive for optional user-authorized backup storage.
Your use of those third-party services may also be governed by the terms and privacy policies of those providers. OrbitFit is not responsible for third-party service outages, policy changes, or independent acts or omissions of those providers.
7. Updates and Product Changes
We may update, modify, suspend, or discontinue OrbitFit features at any time, including backup workflows, licensing rules, or connected service integrations. Where required, material changes will be reflected in updated product materials, notices, or revised Terms.
8. Fees and Licensing Plans
Certain OrbitFit functionality may require a valid license, subscription, or other paid entitlement. If you purchase a paid plan, you agree to pay applicable fees in accordance with the pricing, billing, and renewal terms provided to you at the time of purchase.
Unless otherwise stated in writing, fees are non-refundable except where required by law.
9. Suspension and Termination
We may suspend or terminate your access to OrbitFit if we reasonably believe you violated these Terms, misused licensing or connected services, failed to pay applicable fees, or created risk or harm to OrbitFit, other users, or third parties.
You may stop using OrbitFit at any time. Termination does not automatically delete local files or backups on your device or in your connected cloud accounts.
10. Disclaimers
OrbitFit is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.
We do not guarantee that OrbitFit will be error-free, uninterrupted, fully secure, or suitable for every business workflow or legal requirement.
11. Limitation of Liability
To the maximum extent permitted by law, OrbitFit and its affiliates, officers, employees, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, use, backups, or data arising out of or related to OrbitFit.
To the maximum extent permitted by law, our total liability for claims arising out of or relating to OrbitFit will not exceed the amount you paid us for OrbitFit in the twelve months before the event giving rise to the claim, or [amount placeholder] if no fees were paid.
